We believe in leveraging the intellectual, financial, and commercial
strengths of strategic corporate partnerships to bring the full
potential of our product candidates to market.

We also believe in the value of strategic timing. Before seeking development or commercialization partners, we develop our products through mid- to late-stage clinical development. As a result, we are best positioned to assess and realize their full value. Ultimately, this strategy will allow us to choose the best partner on more favorable terms than might be available if we entered into collaborative relationships during earlier stages of product development. <br>

<h1><b>Cephalon</b></h1>
In July 2005, CTI divested TRISENOX<font size="1">®</font> to Cephalon.
As a result, Cephalon assumed worldwide marketing, sales,
and development
of TRISENOX<font size="1">®</font>. For more information

CTI also transferred to Cephalon sole rights to its current joint
proteasome inhibitor research collaboration, which is in preclinical
development.<br>
</p> <h1><b>Nippon Shinyaku</b></h1>
In December 2002, CTI entered
into an agreement with Nippon Shinyaku Co., Ltd to market and distribute
TRISENOX<font size="1">®</font> (arsenic trioxide) injection in Japan,
South Korea, and Taiwan. Nippon Shinyaku received approval and
began to market TRISENOX<font size="1">®</font> in Japan in late 2004.<br> </p>
<h1><b>Chugai Pharmaceutical Co., LTD</b></h1>In October 2001, we entered into a licensing agreement with Chugai Pharmaceutical Co., Ltd. for the development and commercialization of XYOTAX™. This agreement grants an exclusive license to Chugai to develop and commercialize XYOTAX™ in
several Asian markets.

<h1> <b>PG-TXL Company, L.P.</b></h1>
In June 1998, we entered into an agreement with PG-TXL Company,
L.P. and scientists at the M.D. Anderson Cancer Center, granting
us an exclusive worldwide license for the rights to PG-TXL
and to all potential uses of PG-TXL's <a href="abou_frame-tech.htm" target="_self">polymer
technology</a>. PG-TXL
is paclitaxel linked to polyglutamate, and is branded as XYOTAX™.</p>
<p>Under the terms of the agreement, we will fund the research, development,
manufacture, marketing, and sale of drugs developed using PG-TXL's
polymer technology. We will be obligated to make future milestone
payments upon the attainment of significant achievements, as defined
in the
agreement.<br>
